Terms of Service

Pinapl is a marketing platform for Shopify merchants. It connects to your store, identifies revenue the store is already losing, and — once you review and approve a plan — runs email and WhatsApp marketing campaigns on your behalf.

Pinapl proposes; you decide. You remain responsible for reviewing and approving what Pinapl sends, for the content of your campaigns, and for who receives them. You can pause or stop any campaign, and disconnect your store, at any time.

You must provide accurate account information and keep it current. You are responsible for keeping your credentials secure and for all activity that happens under your account, so please notify us promptly of any unauthorised use.

You must be at least 18 years old and legally able to enter into these Terms.

To use Pinapl you authorise us to access your Shopify store data through Shopify's APIs, solely to operate the service. You are responsible for holding the rights and permissions needed for us to process your store and customer data, and for complying with Shopify's own terms and platform policies.

Revoking our access in Shopify, or disconnecting the store in Pinapl, stops further store data being collected. How we handle the data we already hold is described in our Privacy Policy.

You are responsible for ensuring that the marketing you approve complies with applicable law — including anti-spam, telemarketing, and data-protection rules such as CAN-SPAM, the GDPR, the UAE PDPL, and equivalent regulations — as well as the WhatsApp Business Messaging Policy and any other channel rules that apply.

In particular, you are responsible for having valid consent to contact your customers by email and WhatsApp, for honouring unsubscribe and opt-out requests, and for the accuracy of the audiences you approve. Pinapl provides the tools; you control who is messaged and what is sent.

You agree not to:

• Use Pinapl to send unlawful, deceptive, harassing, or unsolicited messages.
• Upload or send content that infringes the rights of others or violates any law.
• Attempt to reverse engineer, disrupt, overload, or gain unauthorised access to the service or its underlying systems.
• Use the service to build a competing product, or resell or sublicense it, without our written consent.
• Misrepresent your identity or your authority to act for a store you connect.

The Site and the product describe how Pinapl works, the campaigns it can run, and the kinds of revenue merchants commonly leave on the table. All of it is for general information. Estimates, projections, benchmarks, and example figures are illustrative only and are not a promise of any particular outcome.

Nothing on the Site is an offer, a commitment, or a binding agreement, and nothing creates a partnership, joint venture, employment, or advisory relationship. Results depend on your store, your catalogue, your audience, and the campaigns you approve, so we do not warrant that any specific revenue, recovery rate, or performance level will be achieved.

Pinapl and the Site — including the software, design, text, logos, and graphics — are owned by or licensed to Agile Studios LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service for your business during your subscription.

You retain ownership of your store data, your customer data, and the content you provide, and you grant us only the licence needed to operate the service for you. "Pinapl" and our logo are our marks and may not be used without our consent.

Pinapl offers a free tier and paid subscriptions. Paid plans are billed in advance on a recurring basis at the price and billing period shown for the plan you select at signup. There are no setup fees or retainers.

Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period, so you keep access until then. Except where required by law, fees already paid are non-refundable.

We may change prices with reasonable advance notice. If you keep using a paid plan after a price change takes effect, you accept the new price. If you do not, you can cancel before it applies.

The service integrates with third parties such as Shopify, email and WhatsApp delivery providers, and payment processors, and the Site may link to third-party sites or tools we do not control. Your use of those services is governed by their own terms, and we are not responsible for their content, availability, acts, or omissions. Links do not imply endorsement.

The Site and the service are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components, or that its content is accurate, complete, or current. To the fullest extent permitted by law, we disclaim all warranties.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, or goodwill, arising from your use of or inability to use the Site or the service.

Our total liability for any claim relating to the service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

You agree to indemnify and hold Agile Studios LLC harmless from claims, damages, and costs arising out of your use of the service, your content, or your breach of these Terms or of applicable law — including any claim relating to the marketing you approved and sent, or to the consent you relied on to send it.

You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if your use puts the service or other users at risk, or if we are required to do so by law — and where circumstances allow, we will tell you first.

On termination your right to use the service ends, any outstanding fees remain payable, and we will handle your data in line with our Privacy Policy.

Our Privacy Policy explains how we handle personal data, including the split between the data we control as your provider and the customer data we process on your behalf. It forms part of your use of the Site and the service, so please review it alongside these Terms.

We may update these Terms from time to time. Changes take effect when posted on this page, and the dates at the top show the current version. For material changes we will give reasonable notice where appropriate. Your continued use of Pinapl after an update means you accept the revised Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The courts located in Delaware will have jurisdiction over any dispute, subject to any mandatory rights you have under the laws of your place of residence.
